In its Annual Reports, the Disclosure Office of the SIX Swiss Exchange gives a short overview over its major activities and the development of the practice of the disclosure law. The Annual Reports are only published in German.
The role of the Disclosure Office is to monitor compliance with reporting and disclosure rules pursuant to Art. 120 ff. FMIA.
The role and function of the Disclosure Office is, in particular, to receive notifications of shareholdings, monitor compliance with reporting and disclosure rules and notify the Swiss Federal Financial Market Supervisory Authority FINMA of potential reporting violations.
The Disclosure Office may also grant exceptions and relief from the reporting and disclosure obligation and render preliminary decisions on whether an obligation to notify exists or not.
The Disclosure Office reports to the member of the Management Committee responsible for the Listing & Enforcement Division of SIX Exchange Regulation. As regards the fulfilment of its statutory tasks, it is subject to the supervision of the Swiss Federal Financial Market Supervisory Authority FINMA. A Commission of Experts is attached to the Disclosure Office in an advisory capacity.
