Corporate Governance

The term "Corporate Governance" refers to all of the principles aimed at safeguarding shareholder interests. While maintaining decision-making capability and efficiency at the highest level of a company, these principles are intended to guarantee transparency and a healthy balance of management and control.

The Directive Corporate Governance (DCG) requires issuers to disclose important information on their board and senior management (or to give substantial reasons why this information is not disclosed). The Directive itself establishes the basic principles. Details on what information is to be disclosed are indicated in the Annex to the DCG.

When the Corporate Governance Directive was first implemented, the SIX Swiss Exchange commissioned Prof. Dr. Conrad Meyer (Institute for Accounting and Controlling of the University of Zurich) to carry out a study on compliance with the Directive. The results are published in the study on its practical implementation (Studie zur praktischen Umsetzung der Corporate Governance-Richtlinie).
